1) Agreement to Terms

By accessing our website, requesting quotes, or purchasing products/services from International Woodworking Technologies, LLC (“IWT,” “we,” “us”), you agree to these Terms & Conditions (“Terms”). If you do not agree, do not use the site or place orders.

2) B2B Focus

We sell primarily to businesses. You represent that you are authorized to purchase on behalf of your organization and will use products/services for lawful, business purposes.

3) Quotes, Orders & Acceptance

  • Quotes are invitations to order and valid for the period stated (or 15 days if not stated).
  • An order is accepted when we confirm in writing (email) or begin fulfillment.
  • We may reject or cancel an order for legitimate reasons (e.g., unavailable parts, export restriction, credit concerns).

4) Pricing, Taxes & Duties

  • Prices are in U.S. Dollars unless stated otherwise and exclude taxes, duties, brokerage, and import fees.
  • You are responsible for applicable sales/use taxes, GST/HST, VAT, customs duties, and brokerage.
  • If tax should have been collected and was not, you agree to remit or reimburse upon request.

5) Shipping, Risk of Loss & Delivery

  • Shipping terms are as specified in your quote/confirmation (e.g., EXW, FCA, DAP under Incoterms® 2020).
  • Title and risk of loss transfer per the agreed Incoterms.
  • Delivery dates are estimates; we are not liable for delays outside our reasonable control (see Force Majeure).
  • For cross-border shipments (Canada/Mexico), customer is responsible for duties, taxes, and brokerage unless otherwise stated.

6) Inspection, Acceptance & Non-Conforming Goods

  • Inspect shipments promptly upon arrival.
  • Notify us of shortages, damage, or non-conformity within 30 days of delivery with photos and documentation.
  • Remedies are limited to repair, replacement, or credit at our option.

7) Returns & RMAs

  • Returns require prior written authorization (RMA).
  • Default policy: returns accepted within 30 days of delivery; items must be unused, in original packaging, and resaleable; a 10% restocking fee may apply.
  • Non-returnable: custom/special-order parts, electrical/electronic components once opened/installed, software licenses/activation keys.
  • Return shipping is your responsibility unless we made an error.

8) Services (Technician/Consulting)

  • Scope: as described in the quote/statement of work.
  • Site Readiness: you will provide safe access, lock-out/tag-out, lifting/rigging as required, and a qualified site contact.
  • Delays: standby time due to site inaccessibility, missing parts, or safety issues may be billable.
  • Acceptance: services are deemed accepted when completed unless you notify us of material issues within 5 business days.

9) Software & Firmware

Where provided (e.g., Optisave configuration files), licenses are subject to the applicable licensor’s terms. You receive only the rights expressly granted.

10) Product Information; OEM vs. Aftermarket

We supply OEM and high-quality aftermarket parts. Unless explicitly stated “OEM,” references to manufacturers are for compatibility/identification only. You are responsible for verifying fit, compatibility, and proper installation in your environment.

11) Limited Warranty

PARTS: 3-MONTH (90-DAY) LIMITED WARRANTY AGAINST DEFECTS IN MATERIALS AND WORKMANSHIP UNDER NORMAL USE; EXCLUDES WEAR ITEMS, MISUSE, IMPROPER INSTALLATION, AND EXTERNAL DAMAGE (POWER, MOISTURE, CONTAMINATION).

SERVICES: PERFORMED IN A WORKMANLIKE MANNER CONSISTENT WITH INDUSTRY STANDARDS; YOUR EXCLUSIVE REMEDY IS RE-PERFORMANCE OF THE DEFICIENT PORTION.

EXCEPT AS SET FORTH ABOVE, PRODUCTS AND SERVICES ARE PROVIDED “AS IS” WITHOUT OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

12) Limitation of Liability

TO THE MAXIMUM EXTENT ALLOWED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING DOWNTIME, LOST PROFITS, OR PRODUCTION LOSSES). OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNTS YOU PAID TO IWT FOR THE SPECIFIC PRODUCT/SERVICE GIVING RISE TO THE CLAIM IN THE 12 MONTHS PRECEDING THE EVENT.

13) Indemnity

You agree to indemnify and hold IWT harmless from claims arising out of your misuse, alteration, or unsafe installation/use of products, or your breach of these Terms.

14) Compliance, Export & Sanctions

You will comply with all applicable laws, including export controls and sanctions administered by the U.S., Canada, and Mexico. You will not export, re-export, or transfer products in violation of such laws.

15) Intellectual Property, Site License & Acceptable Use

Site content (text, logos, images) is owned by IWT or its licensors and protected by IP laws. We grant you a limited, revocable, non-exclusive license to access and use the site for legitimate business purposes. You may not copy, modify, or redistribute site content without permission. You may not upload malicious code, scrape, attempt to bypass security, or interfere with operation.

16) User Content & DMCA Agent

If the site allows user reviews or uploads, you are responsible for your submissions. To report alleged copyright infringement, contact our DMCA Agent:

17) Pricing Errors & Corrections

We reserve the right to correct typographical, photographic, or clerical errors, including pricing and availability, and to cancel any orders placed for products listed at an incorrect price or with incorrect information, even after order submission or confirmation, if not yet shipped/performed. If your payment has already been processed, we will promptly issue a refund.

18) Confidentiality (B2B)

Quotes, pricing, and non-public technical/service information you receive from IWT are confidential and may be used solely to evaluate or perform the transaction.

19) Force Majeure

We are not liable for delays or failure to perform due to events beyond our reasonable control (including accidents, labor disputes, supply-chain disruptions, acts of God, war, government action, port closures).

20) Governing Law & Venue

These Terms are governed by the laws of the State of Michigan, without regard to conflicts of law. The exclusive venue is the state or federal courts located in Kent County, Michigan. You consent to personal jurisdiction there. (If you prefer arbitration, contact us to request an arbitration addendum.)

21) Changes to Terms

We may update these Terms periodically. Continued use of the site or placement of orders after changes constitutes acceptance. The Effective Date above shows the latest version.
